DryPly Partnership Program Terms & Conditions

The DryPly Partnership Program is a program of Georgia-Pacific Wood Products LLC ("Georgia-Pacific") and membership is limited only to builder companies/corporate entities involved in residential or commercial construction ("Customer”). Georgia-Pacific reserves the right to cancel, rescind or extend membership privileges at anytime in its sole discretion. Georgia-Pacific is not responsible for illegal, inappropriate or improper use of any part or all of its marketing materials contained within and/or associated with the DryPly Partnership Program. Georgia-Pacific makes no representations and extends no warranties beyond those expressly stated in its marketing materials and all such warranties are limited by, and subject to, the disclaimers set forth in the "GP Terms of Use” section of the Georgia-Pacific web site. Georgia-Pacific specifically disclaims all liability in accordance with the Limitation of Liability provision of the "GP Terms of Use” section of the Georgia-Pacific web site. Terms and conditions of rebates offered through the DryPly Partnership Program are outlined on each rebate form

Georgia-Pacific Wood Products LLC ("GP") grants Member ("User"), a non-exclusive, royalty-free, non-assignable right to use the GP trademarks shown in connection with the DryPly® Builder Partnership Program’s ("GP Marks”) promotional, advertising, sales and/or marketing materials, documentation or information, including but not limited to catalogs and web sites and other electronic and paper media in the United States (collectively, the "Materials") for as long as the DryPly Builder Partnership Program shall exist.

This right includes the right to use, copy, publish, transfer, and distribute the GP Marks in connection with the Materials in the United States as of the Effective Date of this Agreement.

The GP Marks may be reproduced and used in the Materials provided that the reproductions are not presented in any manner that alters the basic character of the GP Marks or otherwise reflects negatively on GP or its officers, employees, directors, agents, subsidiaries, suppliers or customers. User acknowledges GP's ownership of the GP Marks in all the Materials. The phrase "Used with permission of Georgia-Pacific Wood Products LLC” is an acceptable form of acknowledgment.

GP reserves all rights in the GP Marks not expressly granted herein, and no other rights are granted. GP may grant the same or similar rights to others. User may not transfer, assign or give the GP Marks to anyone not a GP employee, and may not transfer or assign any rights granted herein to anyone, and any attempt to do so is null and void and a breach of this agreement. User recognizes that GP Marks are the property of GP, and User agrees not to copy, reproduce, store, edit, modify, use or distribute the Materials in any manner, except as expressly authorized herein.

This document does not create a distributorship, dealership or franchise contract or relationship between GP and User, and it shall not be construed to obligate or require GP to accept purchase orders from or sell products to User. GP may revoke the permission granted in this letter at any time in its sole discretion and User will immediately cease all use of the GP Marks, remove the GP Marks from all Materials, and confirm to GP in writing that these steps have been taken.
